The future of Orlen’s acquisition of the Polimery Police asset from Grupa Azoty hangs in the balance following a newly initiated international arbitration dispute. Global polymer leader LyondellBasell (LYB) has formally objected to the deal, claiming that the takeover violates long-standing joint-venture agreements and infringes upon its commercial interests.

Originally intended to elevate Grupa Azoty’s market standing, the multi-billion-zloty facility in Police instead became a heavy financial burden due to massive cost overruns and operational idleness. Selling the plant to Orlen was viewed as a vital lifeline for Azoty’s restructuring. However, LYB launched ad-hoc arbitration proceedings in London, seeking to challenge the transaction through legal mechanisms tied to its historical partnership with Orlen.

While both Polish companies omitted major public disclosures on the matter initially, the conflict surfaced in Orlen’s H1 2026 financial disclosures. Market experts emphasize that resolving this dispute is critical; a failure of the transaction could derail Azoty’s financial recovery, especially given the lack of viable alternative buyers for the complex.
