01 Definitions & Entity
Service Provider: The GTradX platform is operated by GTRADX sp. z o.o. with its registered office in Krzeczyn Wielki, entered into the Register of Entrepreneurs under KRS number: 0001205160, NIP: 692-254-74-19.
Platform: GTradX operates as a B2B marketplace connecting verified Vendors (entities selling Goods) and Buyers (entities purchasing Goods). Access is strictly restricted to business entities.
02 Account & Verification
To ensure a secure trading environment, GTradX employs a multi-level verification system described in §3 of the Regulations. Verification statuses are valid for 12 months.
Vendor Protocol (Supply Side)
- Level I (Blue Badge): Means a verified business entity (Registry check KRS/CEIDG/VAT ID).
- Level II (Silver Badge): Means a verified natural person representing the Vendor with authority to present binding offers.
- Level III (Gold Badge): Means a certified, trusted Vendor (includes Licenses, CRBR, and Sanctions audit).
Buyer Protocol (Demand Side)
- Stage I (Basic): Registry check. Allows browsing and sending inquiries (subject to approval).
- Stage II (Verified Buyer): Full verification including Representation check. Required for Buyer Pro plan.
03 Trading Rules
GTradX acts solely as an intermediary infrastructure provider. The platform operates on a Slot-based offer system, where the ability to publish offers is limited by the Vendor's subscription plan.
3.1 Offer Accuracy
Vendors are fully responsible for offer content. Misleading Users regarding quantity, quality, or origin is strictly prohibited.
3.2 Closing a Deal
"Acceptance of price" via the Deal Room constitutes a binding declaration of intent, but does not yet constitute a Purchase-Sale Agreement. The final commercial agreement is concluded directly between Buyer and Vendor outside the platform infrastructure.
04 Payments & Subscriptions
GTradX operates on a SaaS model. Fees for subscription packages (Basic, Pro, Unlimited) are non-refundable once the billing cycle commences.
All payments and subscriptions are processed securely based on the agreed B2B terms. Invoices are issued by Fakturownia Sp. z o.o. on behalf of GTRADX.
05 Security & Prohibited Goods
The Company is not liable for the solvency of Buyers or the quality of Goods traded between parties. GTradX reserves the right to suspend accounts in case of "fair use" violations or duplicate offers.
Strictly Prohibited: Goods subject to international sanctions (UN/EU/US/UK), including products originating from sanctioned Russian/Belarusian entities. Dual-use goods (Regulation EU 2021/821) are monitored.
06 Governing Law
The governing law is Polish Law. The UN Convention on Contracts for the International Sale of Goods is explicitly excluded.
Any disputes shall be resolved by the court competent for the Service Provider's registered seat (Wrocław/Lubin area).
